Kimbal Private Limited (formerly Sinhal Udyog Private Limited) is committed to conducting business with integrity, transparency, and in strict compliance with all applicable laws and regulations. We believe that our relationships with our vendors, suppliers, contractors, and service providers (“Supplier”) must be built on a foundation of trust, ethical practices, and mutual respect. We expect our Suppliers to uphold the same high standards of ethical conduct when conducting business with or on behalf of Kimbal through this Ethics and Compliance Code. 

Supplier Obligations:

The Supplier agrees and confirms compliance to:

  • Act with integrity in all business dealings, maintain accurate records, and uphold fair competition practices. The Supplier shall not engage in fraud, deception, misrepresentation, or any other unethical conduct in the performance of its obligations.

  • Confirm that there are no unethical practices including any payments were made to secure the order or while execution of the order. Not offer, promise, give, demand, or accept any bribe, improper payment, gift, hospitality, or other advantage intended to obtain or retain business or any improper advantage. 

  • Strictly comply with all applicable laws, rules, and regulations, including but not limited to the Prevention of Corruption Act, 1988 (as amended) and any other anti-bribery and anti-corruption laws in force in India or any other applicable jurisdiction.

  • Didn’t engage in any corrupt practices, including facilitation payments or kickbacks for securing this or any orders from the Company.

  • Avoid any actual or potential conflict of interest and disclose without delay any situation that may reasonably appear to be a conflict of interest, such as personal or financial relationships with Kimbal employees or their family members that may improperly influence business decisions. Any such conflict of interest or any potential conflict of interests are reported in email to the sourcing team @ SourcingTeam@Kimbal.io.

  • Treat their employees fairly and comply with all applicable labour and employment laws, including prohibitions on child labour, forced labour, bonded labour, or any form of modern slavery. The Supplier shall provide wages, benefits, and working hours in accordance with applicable laws and ensure non-discriminatory employment practices.

  • Ensure a safe and healthy working environment for all employees and contractors by complying with applicable health and safety laws and implementing appropriate safety management systems. Suppliers must take all reasonable steps to prevent workplace accidents, injuries, and occupational diseases.

  • Protect and handle all confidential or proprietary information received from Kimbal responsibly, use it only for its intended purpose, and not disclose it to any unauthorized person or in breach of any intellectual property rights. 

  • Comply with all applicable environmental laws and strive to minimize adverse environmental impacts through responsible sourcing, waste management, pollution prevention, and energy efficiency measures. 

  • Maintain accurate records related to its compliance with this Ethics and Compliance Code and to cooperate with Kimbal in any reasonable audit or assessment of such compliance at the cost of Kimbal. 

Reporting Compliance:

The Supplier and its employees, agents, subcontractors, or any other parties working on its behalf are strongly encouraged to promptly report any actual, suspected, or potential violations of this Ethics and Compliance Code or any applicable laws, including unethical, unlawful, fraudulent, or corrupt conduct that may arise in connection with the Company’s business in any of the following channels:

All reports will be treated confidentially, to the extent permitted by law. The Company strictly prohibits any form of retaliation, harassment, or adverse action against any Supplier, employee, or other individual who, in good faith, reports a concern or assists in an investigation. Any retaliatory action will be treated as a serious violation and may result in termination of the Purchase Order or other appropriate action.

Consequences of Non-Compliance:

Failure to comply with the Supplier Ethics and Compliance Code may result in immediate termination of the Purchase Order, blacklisting of the entities and its management to deal with the Company, recovery of all financial loss including the cost of investigation, litigation and any other loss as the Company may deem appropriate.

Acceptance:

By accepting this Purchase Order, either expressly or by implied performance of work or by accepting payments as part of the Purchase Orders, the Supplier expressly confirms that it has read, understood, and agrees to fully comply with this Ethics and Compliance Code.
